1. Acceptance of Terms
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you (either as an individual developer or an enterprise organization you represent, referred to as "Customer", "User", or "you") and CodeBunker ("CodeBunker", "we", "us", or "our").
By downloading, compiling, activating, subscribing to, or operating the CodeBunker Station, the CodeBunker CLI, or any official CodeBunker plugins for Visual Studio Code, Google Chrome, or Figma (as well as upcoming roadmap integrations), you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.
2. Architecture & Service Definitions
For the purposes of this Agreement:
- "CodeBunker Station" means the unified desktop application and local workspace controller providing local project management, software engineering productivity utilities, and workspace governance.
- "Extensions & Connectors" means official integration packages released by CodeBunker for supported IDEs, browsers, and design software (including our active releases for Visual Studio Code, Google Chrome, and Figma).
- "Workstation Seat" means a single developer activation entitlement authorized to operate the CodeBunker Station on one (1) designated device or active workstation per license.
- "Customer Files & Projects" means all computer source code, configuration files, local documentation, environment variables, and proprietary project files owned or managed by Customer on their workstation.
3. Software License & Station Seats
Subject to your ongoing compliance with these Terms and timely payment of applicable subscription or license fees, CodeBunker grants you a non-exclusive, non-transferable, revocable, worldwide commercial license to install and execute the CodeBunker Station and associated extensions for internal software development:
- License Grant, Not Sale: The CodeBunker Station, extensions, and accompanying binaries are licensed, not sold. This Agreement conveys to you a limited, revocable, non-transferable, and non-exclusive license, and transfers no ownership title, proprietary right, or intellectual property interest in the software or underlying source code.
- Per-Seat Allocation: Each paid license seat is tied to an individual named developer. Shared generic accounts among multiple engineers simultaneously are prohibited.
- Single-Device Activation: Each license seat entitles activation on one (1) single active workstation or personal computer at a time. Using CodeBunker on a different device requires transferring the license entitlement or acquiring an additional seat.
- Offline Operation: The CodeBunker Station operates autonomously offline. Software entitlement and license status are validated periodically or when network connectivity is available, without interrupting your active local development workflows.
4. 14-Day Free Evaluation Period
New customers may be eligible for a 14-day fully featured evaluation trial of the CodeBunker Station without credit card commitment:
- The evaluation period begins immediately upon initial activation or trial license issuance.
- All standard workspace utilities, connectors, and tools are unlocked during the evaluation.
- Upon conclusion of the 14-day evaluation, continued access to advanced station utilities requires purchasing a license through an authorized store. If no license is selected, premium utilities are paused without modifying or damaging your local files or project repositories.
5. Absolute Customer Ownership of Code
Customer retains 100% full, exclusive, and unencumbered ownership of all Customer Files & Projects, source code, local secrets, and technical models. CodeBunker claims zero ownership, license rights, title, or interest in any code analyzed, governed, or safeguarded by our software.
CodeBunker does not store, monetize, inspect, or train machine learning models on your source code. Analysis occurs locally on your hardware.
6. Acceptable Use & Security Conduct
You agree not to engage in any of the following restricted activities:
- Reverse Engineering & Binary Extraction: Decompiling, reverse engineering, disassembling, unpacking, or attempting to derive the source code from executable binaries, installer packages (including
.exe,.msix, native libraries, or bundled distribution assets) of the CodeBunker Station, except strictly to the extent permitted by mandatory applicable law. - Circumvention: Modifying, defeating, or bypassing cryptographic license validation or seat enforcement mechanisms.
- Reselling & Sublicensing: Renting, leasing, reselling, or providing CodeBunker as a managed service bureau to unauthorized third parties without prior written consent.
- Malicious Deployment: Using CodeBunker to conduct denial of service attacks, distribute malware, or compromise third-party computer systems.
7. Subscriptions, Invoicing & Renewal
Software licenses and subscriptions are purchased, billed, and managed through authorized application stores and certified payment platforms:
- Billing & Renewal: Subscriptions and periodic licenses are subject to the terms and billing cycles of the authorized store or platform through which they were acquired. Recurring charges, renewals, and cancellations are handled directly through your account with the respective distributor.
- Seat Upgrades: Additional seats or license upgrades can be purchased through authorized channels according to the policies of the distributing platform.
- Cancellations & Refunds: Cancellation and refund requests are subject to the policies of the authorized store or payment platform from which the software license was purchased.
- Taxes: All applicable local, state, or international sales taxes or VAT are calculated and collected directly at checkout by the distributing platform where legally required.
8. Support & Service Commitments
We provide customer and technical assistance on a reasonable best-effort basis via community channels and email (support@codebunker.dev):
- Community & Email Support: Inquiries are addressed on a reasonable best-effort basis during standard business operating hours.
- Continuous Updates: We actively release performance enhancements, bug fixes, and feature updates through official distribution channels as part of active development.
9. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE CODEBUNKER STATION, EXTENSIONS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WHILE CODEBUNKER IS DESIGNED TO DETECT SECRETS AND ARCHITECTURAL LEAKS WITH RIGOROUS ACCURACY, NO SECURITY OR GOVERNANCE SOFTWARE IS INFALLIBLE. CUSTOMER REMAINS RESPONSIBLE FOR MAINTAINING INDEPENDENT PROJECT AND FILE BACKUPS, SECURE CREDENTIAL ROTATION, AND COMPLIANCE PRACTICES.
CUSTOMER IS SOLELY RESPONSIBLE FOR ENSURING THAT THEIR COMPUTER HARDWARE AND OPERATING SYSTEM MEET THE MINIMUM REQUIREMENTS FOR WINDOWS 10/11. CODEBUNKER DISCLAIMS ANY LIABILITY FOR APPLICATION INSTABILITY, PERFORMANCE ISSUES, OR FUNCTIONAL RESTRICTIONS CAUSED BY HARDWARE DEFICIENCIES, THIRD-PARTY ANTIVIRUS OR ENDPOINT SECURITY SOFTWARE, FIREWALL RESTRICTIONS, OR LOCAL SYSTEM ADMINISTRATIVE POLICIES.
10. Limitation of Liability
IN NO EVENT SHALL CODEBUNKER, ITS CONTRIBUTORS, DEVELOPERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE GOODS), ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.
CODEBUNKER'S TOTAL AGGREGATE LIABILITY ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE GREATER OF (A) ONE HUNDRED US DOLLARS ($100 USD) OR (B) THE TOTAL AMOUNT ACTUALLY PAID BY CUSTOMER TO CODEBUNKER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
11. Indemnification
Customer agrees to defend, indemnify, and hold harmless CodeBunker from and against any third-party claims, liabilities, damages, and legal costs arising from: (a) Customer's violation of these Terms; (b) Customer Files & Projects or software developed by Customer; or (c) unauthorized redistribution of license credentials.
12. Suspension & Termination
Either party may terminate this Agreement at any time. Upon termination:
- Customer's license rights terminate immediately.
- Customer must cease executing the CodeBunker Station under expired license keys.
- Customer project files and local directories on developer workstations remain completely unharmed, as CodeBunker does not encumber or hold user source code in escrow.
13. Dispute Resolution & General Provisions
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the software shall first be addressed through informal, good-faith direct communication between the parties. If an amicable resolution cannot be reached, disputes shall be submitted to the competent courts of applicable jurisdiction determined by mandatory law.
